These Terms of Service ("Terms") govern your access to and use of EPM Agent's AI-powered Oracle EPM assistant service ("Service"). By accessing or using the Service, you agree to be bound by these Terms.
By creating an account, requesting a demo, or otherwise using EPM Agent, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
EPM Agent provides an AI-powered natural language interface for Oracle EPM Planning Cloud environments. The Service includes:
EPM Agent is a supplementary tool designed to work alongside your existing Oracle EPM environment. It does not replace Oracle EPM Cloud functionality.

Your use of the Service is subject to our Privacy Policy. You retain all rights to your data. We do not claim ownership of your EPM data, metadata, or query content.
You are responsible for ensuring that your use of the Service with your Oracle EPM environment complies with your Oracle license agreements and data governance policies.
Access to the Service requires a paid subscription. Subscription fees are billed monthly or annually as selected during signup. All fees are non-refundable except as required by law or as specified in your subscription agreement.
We reserve the right to change pricing with 30 days' written notice. Price changes will take effect at the start of your next billing cycle.
We strive to maintain high availability of the Service. However, we do not guarantee uninterrupted access. Scheduled maintenance windows will be communicated in advance. The Service depends on the availability of your Oracle EPM environment and third-party AI services.
The Service, including its software, design, documentation, and all related intellectual property, is owned by EPM Agent. These Terms do not grant you any rights to our trademarks, logos, or brand features.
You retain all intellectual property rights in your data, metadata configurations, and custom context mappings created within the Service.
EPM Agent uses artificial intelligence to process queries and generate responses. While we strive for accuracy, AI-generated responses should be verified before making financial decisions. EPM Agent does not provide financial advice. The accuracy of responses depends on the quality of your EPM data and metadata configuration.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EPM AGENT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE. Our total liability shall not exceed the amount you paid for the Service in the 12 months preceding the claim.
We are not liable for any decisions made based on information provided by the Service, inaccuracies in AI-generated responses, or issues arising from your Oracle EPM environment.
You agree to indemnify and hold EPM Agent harmless from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.
Either party may terminate the subscription with 30 days' written notice. We may suspend or terminate your account immediately if you violate these Terms.
Upon termination:
We may modify these Terms at any time. Material changes will be communicated via email or through the Service with at least 30 days' notice. Continued use of the Service after changes take effect constitutes acceptance of the modified Terms.
These Terms shall be governed by and construed in accordance with applicable laws. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration, unless otherwise required by applicable law.
